These Terms and Conditions ("Terms") govern your use of Authent (the "Service"), a platform for preparing documents, capturing electronic signatures and maintaining a tamper-evident audit trail. By accepting these Terms you agree to be bound by them.
1. Electronic signatures
The Service captures ordinary electronic signatures and a supporting record of each signing. You acknowledge that a signature applied through the Service, together with its audit trail, is intended to have legal effect, and that certain categories of document cannot be signed electronically or require a higher-assurance signature that the Service does not provide.
2. Suitability in your jurisdiction
You are responsible for determining whether the Service, and an electronic signature applied through it, is appropriate and legally effective for your documents in your jurisdiction. Electronic-signature laws, and the categories of document that may be signed electronically, differ from country to country. Where a document requires a particular form, a witnessed or notarised signature, or an advanced or qualified electronic signature, the Service may not be suitable, and it is your responsibility to satisfy yourself of its appropriateness before relying on it. We make no representation that the Service is suitable or lawful for use in any particular jurisdiction.
3. Your responsibilities
You are responsible for the accuracy of the information you upload, for identifying the correct signing parties, and for keeping your account credentials secure. You may not use the Service for any unlawful purpose or to sign a document you are not authorised to sign.
4. Good-faith use
You must use the Service honestly and in good faith. You may not use it to deceive or mislead a signing party about what they are signing, who is asking them to sign, or the nature or effect of the document; to impersonate any person or organisation, or to make a signing request appear to come from someone it does not; or to obtain a signature — or induce anyone to disclose information — under false pretences ("signature phishing"). Every signing request you send must be genuine: the document must be what it purports to be, and each party must be who you represent them to be. We may suspend or close any account we reasonably believe is being used in breach of this clause, and we are not liable for loss arising from your misuse of the Service.
5. Records and audit trail
To preserve the integrity of each signing, the Service records events including the date and time, the parties involved, IP address and device information, and cryptographic hashes of the signed document. These records are retained as part of the signing certificate and may be produced as evidence of the signing.
6. Admissibility and evidential weight
Whether a court, tribunal, arbitrator or other decision-maker admits a signing record as evidence, and what weight it gives that evidence, is a matter for that body alone, decided under the law and rules of procedure that apply to the proceeding. We produce and preserve the record; we have no part in how it is received. We do not warrant that a signature, signing certificate or audit trail produced by the Service will be admitted, accepted as authentic, or held sufficient to prove any fact, the identity of any signatory, or the validity or enforceability of any document, and we are not liable for any ruling, finding, award or other outcome in any proceeding, including a decision to exclude the record or to give it little or no weight. Nothing in these Terms, and nothing produced by the Service, is legal advice.
7. Privacy
Personal information is processed in accordance with applicable data-protection law and our Privacy Policy. Documents stored in your vault are encrypted at rest.
8. Cookies and email tracking
The Service sets three first-party cookies: one keeps you signed in, one carries a status message from one page to the next, and one records whether you agreed to analytics. None is used for advertising and none is shared with anyone else.
If you accept analytics when you are asked, we derive an identifier from your network address and browser so that repeat visits can be counted. If you decline, nothing is derived and nothing is recorded. You are asked before any of it is collected, and declining does not limit your use of the Service in any way.
Email we send — authentication codes, signing invitations, reminders and completion receipts — currently carries open tracking and link tracking, both applied by our email provider (see our Privacy Policy). Open tracking embeds a small invisible image, so opening the message records that it was opened, when, and the device and network it was opened from. Link tracking rewrites the links in the message, so following one records that the link was followed and routes the click through the provider before it reaches us. We use this to tell whether a message that matters — a signing invitation in particular — actually reached the person it was addressed to.
This applies to everyone we email on your behalf, including signing parties who do not hold an account with us. Where you invite someone to sign, you are responsible for having a lawful basis to give us their address, and for telling them that the invitation is tracked in this way if the law that applies to them requires it.
9. Payment and refunds
Signings are bought in prepaid packs that do not expire, and a session is charged only once a certificate has been issued for it. What can be refunded, and by when, is set out in our Refund Policy.
10. Availability and liability
The Service is provided on an "as is" basis. To the extent permitted by law, we are not liable for any indirect or consequential loss arising from your use of, or inability to use, the Service. Nothing in these Terms limits liability that cannot lawfully be limited.
11. Governing law
These Terms are governed by the laws of the country in which the Service provider is established, and you submit to the non-exclusive jurisdiction of its courts.
